Why Could We Not Exit the Business as Planned?

An owner wanted to leave or transfer their interest, but the expected exit proved difficult or impossible. The problem may have been built into the ownership structure long before anyone wanted out. The question is which valuation, funding, authority or transfer assumptions made the planned exit unworkable.
